Board of Directors Diversity Policy
PURPOSE AND SCOPE
Board of Directors of Türkiye Hayat Emeklilik will be structured as the necessary balance of knowledge, experience, diversity and independence to effectively fulfil the management and oversight functions of the company. This policy sets out the principles regarding the diversity and suitability of the Board of Directors.
1. Board Diversity and Conformity Policy
In order to provide Board of Directors’ contribution to effective decision-making processes, diversity factors such as gender, age, professional experience, academic background, ethnic origin, and disability status will be taken into consideration.
Diversity is recognised as an important element that enhances the performance of the Board of Directors and will be continuously monitored and reported under this policy.
2. Eligibility Criteria
Members of the Board of Directors must comply with the provisions of the Turkish Commercial Code, Capital Markets Law and relevant legislation. In addition, canditates who comply with the diversity criteria that are set out in this policy will be preferred.
The members of Board of Directors should have the knowledge, experience and competences to contribute to the strategic goals of the company.
3.Independent Members of the Board of Directors
Türkiye Hayat Emeklilik will have a certain number of independent members on the Board of Directors. Independent members are appointed in accordance with the capital markets legislation and contribute to independent management decisions.
The number and qualifaction of independent members will be determined in accordance with the corporate governance principles of the Capital Markets Board.
4.Women Representation
Türkiye Hayat Emeklilik commits to take the necessary steps for the representation of women in the Board of Directors. In order to increase the number of female members in the Board of Directors, improvement activities will be carried out continuously and this process will be monitored regularly.
In line with this goal, the Company aims to have at least 25% of the Board of Directors represented by female executives within 5 years from the effective date of this Policy.
5. Monitoring and Reporting
The Board of Directors’ diversity and compliance targets are reviewed at least once a year. The performance of the Board of Directors and its compliance with the targets are disclosed to the public in the annual reports.
The progress of diversity-related targets is monitored in Turkiye Hayat Emeklilik’s integrated reports and shared with stakeholders.
6. Enforcement and Audit
This policy enters into force upon the approval of Türkiye Hayat Emeklilik A.Ş. Board of Directors. When necessary, the policy may be amended by the decision of the Board of Directors.
